Terms of Service

Effective April 29, 2026

These Terms of Service (“Terms”) govern your access to and use of Skyfall Agents (“Service”), operated by Skyfall Consulting (“Skyfall,” “we,” “us”). By creating an account, installing the Skyfall Concierge Slack app, or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.

The Service

Skyfall Agents is a persistent AI operator for software teams. It provides a workspace (“Workspace”) where you create projects, converse with the Concierge agent, and receive deliverables (documents, spreadsheets, decks, code changes, pull requests). Concierge and its specialist agents call underlying foundation models to generate output.

Your account

  • You are responsible for safeguarding your login credentials.
  • You are responsible for activity that happens under your account, including actions taken by Concierge on your behalf through connected integrations.
  • One person or organization per account. You may not share login credentials.

Acceptable use

You will not use the Service to:

  • Violate any law, regulation, or third-party right.
  • Generate, store, or distribute content that is illegal, defamatory, harassing, or infringing.
  • Reverse engineer, scrape, or attempt to circumvent any security or rate-limiting feature of the Service.
  • Use the Service to build a competing AI service by systematically exporting model outputs.
  • Attempt to access another user's workspace, data, or connected accounts.
  • Push deliverables or agent actions to repositories, messaging channels, or email addresses you are not authorized to use.

Your content

  • You own your content. You retain all rights to the projects, conversations, and deliverables in your workspace. You grant us a limited, non-exclusive license to process your content strictly to operate the Service.
  • No training. We do not use your workspace content to train foundation models, and we configure our foundation model providers to not train on your data.
  • You are responsible for ensuring you have the rights to share any content or codebase access you connect to the Service.

Integrations & third parties

The Service connects to Slack, GitHub, email providers, and foundation model APIs. When you connect an integration, your use is also governed by that provider's terms. We are not responsible for the availability, accuracy, or conduct of third-party services.

AI-generated content

Concierge and its specialist agents produce output using AI models. That output can be wrong, incomplete, or misleading. You are responsible for reviewing any deliverable, pull request, or action before relying on it. Do not use the Service as a substitute for professional legal, medical, financial, or safety-critical judgment.

Billing & subscriptions

  • How billing works. Paid plans are billed monthly in advance through Stripe. By subscribing, you authorize Stripe to charge the payment method on file at the start of each billing period.
  • Trials. The free trial does not require a payment method. Paid plans begin only when you explicitly upgrade and enter billing details.
  • Cancel anytime, no refunds. You can cancel your subscription at any time from the billing page. Cancellation takes effect at the end of the current billing period; you keep access until then. We do not issue refunds for partial months or unused credits, except where required by law.
  • Failed payments. If a charge fails, we'll retry and notify you. After repeated failures, the account is downgraded to the free tier and credits stop accruing.
  • Price changes. Plan prices can change. We'll notify active subscribers at least 30 days before a price change takes effect on their plan; cancel before then if you don't want to continue at the new price.

Service availability & changes

The Service is provided on an “as is” and “as available” basis. There is no service-level agreement (SLA) on the free, Starter, Team, or Business plans — uptime is best-effort. SLAs are available only on Enterprise contracts. We may add, change, or remove features at any time. We may suspend or terminate access to the Service for violation of these Terms, for risk to other users, or for legal reasons.

Termination

  • You may delete your workspace at any time from Settings → Danger zone. This permanently removes all associated data.
  • We may terminate or suspend your access if you breach these Terms. We will make reasonable efforts to notify you unless doing so would risk harm to others.
  • Upon termination, the rights granted to you end, and any sections that by their nature should survive (ownership, disclaimers, limitation of liability) remain in effect.

Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR PRODUCE PARTICULAR RESULTS.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SKYFALL'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE IS LIMITED TO THE GREATER OF (A) US$100 OR (B) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.

Changes to these Terms

We may update these Terms as the Service evolves. Material changes will be announced to active workspace owners by email at least 30 days before they take effect. Continuing to use the Service after the effective date constitutes acceptance.

Governing law

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in San Francisco County, California.
